GENERAL PURPOSE:
The General Counsel is responsible for all legal matters within the company, providing legal advice, guidance on legal rights and duties, and ensuring that the company operates within the law.
QUALIFICATIONS:
Juris Doctor (JD) degree
Admitted to a State Bar
Superior academic record
A bachelor's or degree or advanced degree in Business Administration will be considered an asset.
At least 20 years of experience in either a law firm or in house legal environment.
Proven general counseling experience in a business environment.
Strategic thinker
Overall broad legal knowledge (corporate law, health care law, litigation, employment law, etc.
)
Ability to anticipate legal issues or risks
Strong interpersonal, verbal, and written communication skills
High level problem solving skills
High degree of professional ethics and integrity

ESSENTIAL JOB FUNCTIONS:
Advises executive team of new laws, existing laws, and legal rights that impact the business.
Provides expert and strategic legal advice to management.
Handles or oversees the management of all legal matters, including contract negotiations, mergers and acquisitions, compliance issues, and litigation.
Prepares and reviews company contracts, request for proposals, and other legal documents.
Maintains knowledge of the company’s legal documents and operations.
Crafting and reviewing legal strategy in response to any litigation.
Keeping a record of all legal documents and proceedings for the company.
Facilitating filings of licensing forms and other statutory requirements.
Ensuring compliance with regulatory standards and company policies in delivering services.
Represents the company in legal proceedings, either directly or through managing external attorneys
Provides training to the company on legal topics and promotes legal, compliance, and risk management awareness within the company.
Adheres to all Company policies and procedures.
Perform other duties as assigned.
