Description: Job Summary As a senior-level executive of Nexus, reporting to the Chief Executive Officer, the Vice President of Legal and Regulatory Compliance/General Counsel will provide expert counsel and direct the legal and regulatory operations of the organization.
This includes providing clear, concise regulatory guidance, while making sound, educated legal decisions for the organization.
The VP, Legal and Regulatory Compliance/General Counsel will take a leading role in the build/evolution of a robust, sophisticated global compliance framework (policies, procedures, tools) and strategy to support the organization’s growth in size and complexity.
The general counsel will examine and draft IT, employment, real estate, and vendor contracts, manage copyrights and trademarks, and preserve business records.
Requirements: Essential Job Functions Provide legal counsel and guidance to the leadership team for a variety of legal and general management matters, such as liability and insurance issues, commercial agreements, regulatory, risk management, privacy and data security, marketing, litigation, employment/HR, and others as may arise in the course of business.
Develop and manage a strong knowledge of organizational and strategic objectives.
Manage and protect the company’s IP, including staying involved in the evolution of the business both on the technology and product side.
Manage organizational entities’ requirements, ensuring all corporate registration requirements and renewals are current and maintained.
Ensure appropriate insurance coverage is fully vetted and obtained achieving organizational protection.
Ensure compliance with applicable laws and regulations relating to the organization’s business and privacy rights and obligations, data management and security, and professional responsibilities.
Deliver business-oriented legal advice on regulatory matters for new and existing contracts within the clinical review spectrum.
Oversight of all in-house legal documentation and communication, such as compliance training, contracts, and employment matters in coordination with peer executives Handling statutory filings, such as licensing forms Oversight of all regulatory requirements pertaining to state/federal certifications within utilization management and independent reviews Advises on the interpretation, application, and enforcement of state/federal laws and regulations within the scope of clinical review services.
Support the organization’s regulatory change management program by tracking regulatory developments and evaluating how new laws and regulations might affect services.
Partner with government relations teams to evaluate state and federal legislative processes.
Collaborate internally regarding risk assessments, internal audits, and regulatory requirements.
Analyze and train others on emerging regulatory and policy trends related to clinical review services nationally.
Prepare legal documents, policies, and procedures, conduct research, interpret, and apply laws, and summarize findings.
Selection, engaging and monitoring outside counsel and third-party vendor relationships and establishing procedures for evaluating the quality and cost of outside counsel and necessary vendors.
Act as legal liaison within network of outside counsel, attorneys and paralegals for additional insight and litigation support by managing and directing to achieve accurate predictions of outcomes and optimum results.
Oversight and management of organizational legal/litigation budget Establish and manage an organizational record retention policy.
Through collaboration with the leadership team, identify and assess risk and risk management programs.
Ensure legal compliance regarding matters involving mergers and acquisitions (M&A) and due diligence.
Develop tools and systems to provide legal and regulatory information to the operational team.
Assist in establishing yearly objectives and meeting agendas and selecting and engaging outside consultants as needed.
Oversee long-term budgetary planning and costs management in alignment with strategic plan, especially as the organization considers potential acquisitions and collaborations with external organizations.
Serve as a member of the senior executive leadership team.
Participate in key decisions pertaining to strategic initiatives, operating model, and operational execution.
Develop and execute analysis of various business initiatives (e.
g.
, opening new operations, asset acquisition, new service launches).
Participate in corporate policy development as a member of the senior management team.
Mentor and develop the compliance team, managing work allocation, training, problem resolution, performance evaluation, and the building of an effective team dynamic.
Knowledge and Abilities Requirements: Successful track record of working closely with and providing legal counsel to a senior executive leadership team, optimizing legal advice for business needs.
Ability to prepare legal documents, policies, and procedures, conduct research, interpret, and apply laws, and summarize findings.
Strong legal skills and analysis with ability to effectively identify and communicate risks and guidance to others, with experience across diverse areas of law including contracts, intellectual property, employment, litigation, mergers & acquisitions, and complex commercial transactions.

D.
Degree from accredited, top-tier law school with license to practice law in Texas.
10+ years of practice with an established law firm 5+ years managerial experience preferred.
Substantial specialized legal knowledge in the field of managed care, compliance, contract, and corporate law Experience with corporate governance issues and corporate secretarial duties Demonstrated leadership experience in a growth-oriented environment.

License and Certification: Admission to the bar in Texas Position Demands: This position requires sitting, bending, stooping for up to 8 hours per day in an office setting.
Ability to lift and move objects weighing up to 10 lbs.
Ability to learn technical material.
The person in this position occasionally needs to move about inside the office to access filing cabinets, office machinery, etc.
Must be able to operate a computer and other office productivity machinery such as a calculator, copy machine, printer, etc.
The person in this position frequently communicates with guests, employees, and vendors and must be able to exchange accurate information.
