This position manages key responsibilities to include drafting, reviewing, and negotiating commercial contracts, including procurement and supply contracts; marketing and sponsorship agreements; IT contracts; service agreements and franchise agreements.
This position will work closely with other managers across all departments within the company in negotiating contracts.
RESPONSIBILITIES:
Reviews, negotiates and drafts contracts.
Collaborates with General Counsel and Procurement Teams to ensure compliance with appropriate channels.
Conducts research, interprets, may revise a variety of commercial contracts/agreements.
Provides counsel to business management on matters of law and policy, with an emphasis on litigation or liability.
Ensures corporate documents, procedures and policies are consistently administered in compliance with state and federal regulations.
Manages litigation and other dispute processes, including managing outside counsel inquiries.
Initiates and drafts legal and customer correspondence
Provides support to business operations, sales, finance, and accounting in connection with contract amendments and updating contract terms for renewals.
Tracks receipt of legal documents, and status on processing, signature, and completion of such documents.
Performs legal risk analysis of various decisions made in connection with various contracts; manages difficult situations with internal partners and collaborates across business functions.
Provides responses to requests for business licenses and certifications.
Reviews and identifies actions needed for contractual insurance requirements.
Attends scheduled Office of the General Counsel Department project update meetings and reports project status and projected timelines for various projects to the Senior Corporate Counsel Leadership.
Reviews and analyzes client contract terms and conditions, prepares comments and addenda, and provide explanations to the Business/team.
Partners with Leadership to closely coordinate budget planning.
Tracks and reports time to Leadership on potential projects.
Assumes additional responsibilities as assigned.
EDUCATION:
Juris Doctor (JD) degree
EXPERIENCE:
3+ years’ experience as a commercial transactional attorney with experience in product sales and service-related transactions
3+ years’ practice of legal experience focused primarily on negotiation of contracts and transactional matters
6+ years’ experience preferably in retail/restaurant/hospitality industry reviewing contracts and transactional matters
KNOWLEDGE, SKILLS, AND ABILITIES:
Demonstrated basic/intermediate-level ability to influence and negotiate decisions
Excellent writing skills
Self-starter and ability to work quickly and efficiently in a fast-paced environment
Detail oriented, organized, responsive and deadline driven
Strong negotiation, analytical, and drafting skills
Maintains confidentiality with communications, records and documents
Proficiency in MS Office Word, Excel, Outlook, Power Point and Visio (as applicable)
Proficiency in JD Edwards (as applicable)
Ability to communicate, influence and negotiate decisions while motivating assigned staff
Ability to work in a team environment
Advanced professional or theoretical knowledge and functional concepts, practices, and procedures of a particular field of specialization in the execution of assigned duties and responsibilities
Advanced understanding of the function’s structure and policies with a basic understanding of the structure and policies of Whataburger Restaurants LLC
Advanced understanding of budgetary concepts and procedures
Advanced ability to delegate projects and get work done through others
Advanced understanding of performance review process
Ability to prepare and present ideas and recommendations to colleagues, manager and direct reports with minimal notice and preparation
